Affiliate Super Promo Contests (each a "Contest") start on April 1st, 2024 at 12:00 AM Pacific Time and ends on April 16th, 2024 at 12:00 AM Pacific Time ("Contest Period"). There are two separate Affiliate Super Promo Contests, each with a different prize pool, that will run concurrently during the Contest Period.

ELIGIBILITY: Contest is open to individuals, 18 years of age or older, who are registered participants of HighLevel’s Affiliate Program, with the exception of individuals who reside in Brazil or Italy (and Colombia, Croatia, Hungary, Malta, Turkey, and Uruguay, if the contest provides for a cash prize)  (collectively, “Excluded Territories”). Individuals listed on the OFAC Specially Designated Nationals and Blocked Persons (SDN) List, individuals who are located in or operating from a comprehensively sanctioned country or territory (“Sanctioned Territory”), and individuals working for or on behalf of the government of a Sanctioned Territory are not eligible. Void in the Excluded and Sanctioned Territories and Where Prohibited. Employees of HighLevel Inc. ("Sponsor"), its parent, subsidiaries, affiliates, and promotion and advertising agencies, and members of their immediate family (spouse and parent, children and siblings and their respective spouses, regardless of where they reside) and persons living in the same household, whether or not related, of such employees, are not eligible to enter or win. Void where prohibited by law. Contest is subject to all applicable federal, state and local laws. By participating, each entrant (i) agrees to abide by these Official Rules and decisions of Sponsor and judges, which shall be final and binding in all respects relating to this Contest, and (ii) acknowledges that the publicity grant and any grant of rights to content provided under the Affiliate Agreement agreed to by entrant at time of becoming a registered participant shall apply to their participation in this Contest. 

HOW TO ENTER: During the Contest Period, visit HighLevel’s Affiliate Portal and collect your 5 Day AI Challenge Affiliate Super Promo Challenge registration link (“Registration Link”). Share your Registration Link with potential HighLevel Customers, and you’ll receive one entry per customer who registers for the 5 Day AI Challenge using your Registration Link (each an “Entry”). All Entries must be received by April 16th, 2024 at 12:00am Pacific Time. Entries generated by script, macro or other automated means or by any means which subvert the entry process are void. There is no limit on the number of Entries you can submit.

REQUIREMENTS OF ENTRIES: By participating in a Contest, you agree that each of your Entries conforms to these Official Rules and that Sponsor, in its sole discretion, may disqualify any Entry for any reason, including if it determines that your Entry fails to conform to these Official Rules in any way or otherwise contains unacceptable content. 

Entry may not violate HighLevel’s Affiliate Agreement.

WINNER DETERMINATION: Following the conclusion of the Contest Period, Entrants’ performance during the Content will be evaluated. For Contest 1, the entrant with the highest trial generation rate will be deemed the winner. For Contest 2, the entrant with the highest registration rate will be deemed the winner. In the event of a tie for any prize, HighLevel may, in its sole discretion, select additional winners in each category or select no winner at all. Sponsor reserves the right to not award all prizes if, in its sole discretion, it does not receive a sufficient number of eligible and qualified Entries for that prize. All decisions of the Sponsor are final and binding. 

WINNER NOTIFICATION AND REQUIREMENTS: Potential winners will be notified by email or telephone. Potential winner(s) will be notified by email and may be required to execute and return an Affidavit (or Declaration) of Eligibility, Liability and, unless prohibited, Publicity Release and/or other document(s) required by Sponsor within the time period stated in the communication. If a potential winner does not respond to the initial notification or return all required documentation within the time period stated, or if a prize notification or prize is returned as undeliverable, or such potential winner is not in compliance with these Official Rules or is no longer a participant in the Affiliate Program, prize will be forfeited and, at Sponsor’s discretion, an alternate winner selected. If a winner is required to post, create and/or provide content in connection with a prize-related activity, winner must do so in accordance with any rules, guidelines and content restrictions provided by Sponsor and/or set forth in the Affiliate Agreement, including, but not limited disclosing their material connection to Sponsor. Failure to do so may result in forfeiture of the prize and/or disqualification from the Affiliate Program. In addition, any such content is subject to the grant of rights set forth in the Affiliate Agreement.  Only three (3) alternate winners will be selected for any prize; after which, such prize may remain unawarded, at Sponsor’s discretion. Tangible prizes will be shipped to winner via regular mail at the address provided at time of winner confirmation. Allow 4-6 weeks for delivery. Arrangements will be made with Contest winners for the delivery of non-tangible prizes.

• Flight and Hotel may be included at company’s sole discretion

Contest 2, prize options given to at least 5 individuals who generate the most registrants

• HighLevel Neon Sign (Valued at $240 each)

• HighLevel Swag Bucks (Valued at $40 each)

Combination Travel and Ticket Prize Language

Prize package includes round trip, coach-class air transportation for two (2) from a major airport near winner’s home (determined by Sponsor in its sole discretion) to [insert city, state]; [insert number] nights' accommodations at a hotel determined by Sponsor in its sole discretion (one (1) room, double occupancy); [insert additional trip details/prize components]. [If rental car is part of prize: If winner does not meet requirements for rental car, that portion of the prize will be forfeited in its entirety]. All travel arrangements will be made through Sponsor’s agent. Winner must travel on the dates determined by Sponsor in its sole discretion or prize will be forfeited. Notwithstanding the foregoing, Sponsor will make reasonable efforts to select travel dates acceptable to winner. Trip must be booked at least twenty-one (21) days prior to departure. Travel and accommodations are subject to availability and blackout dates. Travel must be round trip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel is subject to the terms and conditions set forth in this Sweepstakes, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs associated with prize acceptance and use not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, gratuities, baggage fees, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Unless child of winner, travel companion must be eighteen (18) years of age or older as of the date of departure or a sibling/friend of winner with the appropriate parental permissions and releases and must travel on same itinerary and at the same time as the winner.  If winner is at least 18 but still considered a minor in his/her state of residence, travel companion must be winner’s parent/legal guardian.  Travel companion must execute liability/publicity release prior to issuance of travel documents. [If international travel - Winner and travel companions are solely responsible for obtaining valid passports and any other documents necessary for international travel.] Travel restrictions, conditions and limitations may apply.  If in the judgment of Sponsor air travel is not required due to winner’s proximity to prize location, ground transportation will be substituted for round trip air travel at Sponsor’s sole discretion and no compensation or substitution will be provided for difference in prize value. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value.  Sponsor is not responsible if [event] is delayed, postponed or cancelled for any reason in which event that portion of prize is forfeited in its entirety, no substitution will be provided except as in Sponsor’s sole discretion, and winner will not be reimbursed for tickets. Seating to be determined in the sole discretion of Sponsor. Tickets may be subject to Sponsor’s standard rain-check policies and procedures. By accepting ticket prize, winner agrees to abide by any terms, conditions and restrictions provided by the ticket.  Winner and guest agree to abide by all venue rules and regulations.  Failure to do may result in forfeiture of prize.

Tickets are subject to terms and conditions specified thereon. Sponsor is not responsible if [event] is delayed, postponed or cancelled for any reason; no substitution will be provided except as in Sponsor’s sole discretion, and winner will not be reimbursed for tickets. Seating to be determined in the sole discretion of Sponsor. Winner and guest agree to abide by all venue rules and regulations. Failure to do may result in forfeiture of prize.

Prizes are awarded “as is” with no warranty or guarantee, either express or implied. All federal, state and local taxes, if any, and all other costs and expenses associated with prize acceptance and use not specified herein as being provided are the sole responsibility of the winner(s). Winner(s) may not substitute, assign or transfer prize, but Sponsor reserves the right, at its sole discretion, to substitute a prize of comparable or greater value. Prizes are not redeemable for cash. All prize details are at Sponsor’s sole discretion. Limit one (1) prize per person. Any trademarks used herein are the property of their respective owners. Contest is not sponsored, endorsed, or administered by any such owner.

LIMITATIONS OF LIABILITY: Except where prohibited by law, by participating, each entrant agrees to release, discharge and hold harmless Sponsor, Meta Platforms (dba Facebook and Instagram), TikTok, Inc, X, YouTube, any other social media platform upon which your entry is posted, and their respective  parents, affiliates, subsidiaries, and advertising and promotion agencies, and the respective officers, directors, shareholders, employees, agents and representatives of the forgoing (collectively, “Released Parties”) from any and all injuries, liability, losses and damages of any kind to persons, including death, or property resulting, in whole or in part, directly or indirectly, from entrant’s participation in the Contest or any Contest-related activity or the acceptance, possession, use or misuse of any awarded prize. Except where prohibited by law, Released Parties are not responsible for lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, undelivered or garbled Entries, emails, phone calls, or communications of any kind; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Contest, including, without limitation, errors or difficulties which may occur in connection with the administration of the Contest, the processing or judging of Entries, the announcement of the prize(s) or in any Contest-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Contest. Released Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Contest or downloading materials from or use of the website. The limitations set forth in this section will not limit or exclude the Released Parties’ liability for personal injury or tangible property damage caused by the Released Parties, or for the Released Parties’ gross negligence, fraud, or intentional, willful, malicious, or reckless misconduct. In an event of slight negligence, the Released Parties shall be liable only for breaches of a material contractual obligation (cardinal duty). A “cardinal duty” is an obligation whose fulfilment makes the implementation of this contest possible in the first place and on the fulfilment of which the entrant may therefore generally rely upon.  This liability shall be limited to the typical, foreseeable damages.

GENERAL CONDITIONS: Persons who tamper with or abuse any aspect of the Contest or website, who act in an unsportsmanlike or disruptive manner or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated Entries will be void. 

Should any portion of the Contest be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of Entries, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Contest and, if terminated, at its discretion, select the potential winner(s) from all eligible, non-suspect Entries received prior to action taken using the winner determination procedure outlined above or as otherwise deemed fair and appropriate by Sponsor. 

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE CONTEST MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES (INCLUDING ATTORNEYS’ FEES) FROM ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

DISPUTES: Except where prohibited by law, entrant (i) agrees that in any cause of action, Sponsor’s liability will be limited to the cost of entering and participating in the Contest, but in no event will Sponsor’s liability exceed $500USD, nor will entrant be entitled to receive attorneys’ fees, and (ii) waives the right to claim any punitive, consequential or indirect damages. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. 

These Official Rules shall be governed by the laws of the State of Delaware, except where prohibited by law.
