HighLevel AI Agents Marketplace Contest – Official Rules

Binding Agreement

To enter the Contest, you must agree to these Terms. Accordingly, please read these Terms prior to entry to ensure you understand and agree. You agree that entry in the Contest constitutes agreement to these Terms, and you may not enter the Contest and are not eligible to receive the prizes described herein unless you agree to these Terms. These Terms form a binding legal agreement between you and HighLevel with respect to the Contest.

Sponsor

This Contest is sponsored by HighLevel Inc. (“HighLevel” or “Sponsor”), a Delaware corporation located at 400 N. Saint Paul Street, Suite 920, Dallas, Texas 75201.

Eligibility

To be eligible to enter the Contest, you must meet the following criteria:

• Be at least eighteen (18) years old and above the age of majority in the country, state, province or jurisdiction of residence (or at least twenty years old in Taiwan) at the time of entry;

• Have the legal capacity to enter into a binding agreement;

• Not be a resident of Italy, Quebec, Crimea, Cuban, Iran, Syria, North Korea, Sudan, Belarus, Russia, New York, Florida, Rhode Island, Puerto Rico or any other U.S. territory or possession, any country subject to U.S. economic sanctions, or any region designated by the United States Treasury’s Office of Foreign Assets Control; and

• Not be a person or entity under U.S. export controls or sanctions.

Contest is void where restricted or prohibited by law, including but limited to, Italy, Quebec, Crimea, Cuban, Iran, Syria, North Korea, Sudan, Belarus, Russia, New York, Florida, Rhode Island, Puerto Rico or any other U.S. territory or possession, any country subject to U.S. economic sanctions, or any region designated by the United States Treasury’s Office of Foreign Assets Control.

The following individuals are NOT eligible to enter the Contest: (1) employees of the Sponsor; (2) the Jury and its members, affiliates, and employees; and (3) the Sponsor or the Jury’s respective contractors, service providers and professional advisors connected with this Contest, as well as members of their immediate families and/or households.

In addition, persons who are (1) residents of US embargoed countries, (2) ordinarily resident in US embargoed countries, or (3) otherwise prohibited by applicable export controls and sanctions programs may not participate in this contest. Individuals or organizations that are employed by a government agency, or any other individual or organization whose participation in the Contest would create, in the sole discretion of the Sponsor, a real or apparent conflict of interest are also ineligible to participate in this Contest.

If you are entering as part of a company or on behalf of your employer, these rules are binding on you, individually, and/or your employer. If you are acting within the scope of your employment, as an employee, contractor, or agent of another party, you warrant that such party has full knowledge of your actions and has consented thereto, including your potential receipt of a prize.

Incorporated Terms and Policies

Your participation in the Contest is subject to the HighLevel Terms of Service and Privacy Policy, which are incorporated herein by reference. As a condition of participation, you agree to be bound by HighLevel’s Data Processing Agreement, which is also incorporated herein by reference.

Contest Period

The Contest begins at 00:00 UTC on August 21, 2025, and ends at 23:59:59 UTC on September 21, 2025 (“Contest Period”). ENTRANTS ARE RESPONSIBLE FOR DETERMINING THE CORRESPONDING TIME ZONE IN THEIR RESPECTIVE JURISDICTIONS.

How to Enter

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING.

All AI Agents currently listed on the HighLevel Marketplace will be automatically registered for the Contest unless they decide to opt-out in advance of the Contest Period. Existing HighLevel agencies may use live accounts, and new developers may utilize sandbox accounts from the HighLevel developer portal, located here: https://ideas.gohighlevel.com/changelog/ability-to-create-a-developer-sandbox-account-developer-platform-app-marketplace

The Challenge

The challenge for this Contest is to configure either a free Voice AI or a Conversation AI Agent within the HighLevel ecosystem (participants may submit in both categories with separate agents).

Agent Requirements

To be eligible to receive the prizes described herein, the participant must create either a Voice AI and/or Conversational AI Agent (that meets the following criteria:

• Be built entirely within the HighLevel ecosystem; and

• Be offered as a free public application in the HighLevel Marketplace.

In addition, participants must adhere to all applicable HighLevel Terms and Conditions and be compliant with the terms and conditions of any other platform used in connection with this Contest, including but not limited to, any social media platform used to promote their Agent.

Judging

Eligible AI Agents will be evaluated by a jury consisting of the following members (together, the “Jury”)*:

• Wesley Williams (HighLevel Vice President of Marketing);

• Chase Buckner (HighLevel Senior Director of Product Marketing);

• Karthik Anand (HighLevel Senior Product Manager for Marketplace);

• Karan Agarwal (HighLevel Director of Engineering for AI & Marketplace); and

• Rupert Samuel (Founder & CEO of Level Up Marketplace).

*Notwithstanding the foregoing, HighLevel retains the exclusive right to substitute jury members for any reason in its sole and absolute discretion.

The Jury will select the three winners for both the Voice AI and Conversational AI agents based on the agents’ quantitative usage and qualitative excellence within the following sub-categories:

• Real World Application: meant to reward the Agent with a high number of executions after install, that is most useful to a wide audience, and that has the most natural conversion flow;

• Creative Use Cases: meant to reward the Agent that showcases the most unique and innovative applications along with multi-step interactions and dynamic data pulls; and

• Technical Excellence: meant to reward the Agent that makes the best use of most of the assets, including workflows, calendars, custom fields/values, and triggers, while also handling objections and unexpected inputs with good accuracy.

Notwithstanding the foregoing, criteria is subject to change and HighLevel retains the sole and absolute discretion to determine the winner(s) of the Contest. By entering this Contest, you agree to be bound by the decision of the Jury and/or HighLevel.

Prizes

The total prize pool for the Contest is $50,000 USD. As explained above, the Contest features two categories, each of which is eligible for a portion of the prize pool:

• Conversational AI Category; and

• Voice AI Category.

If a selected winner is determined to be in violation of these Terms, applicable law, or if a selected winner resides in a jurisdiction where such contests are prohibited or the selected winner is not considered a legal adult, prize money will not be distributed, and HighLevel reserves the right to select an alternative winner.

Tax and Reporting Obligations

Winners are solely responsible for all tax obligations arising from any prize receipt, including federal, state, provincial, territorial, and local taxes in your jurisdiction of residence. In addition, all winners are responsible for any fees associated with receiving prizes, including but not limited to wire transfer fees, currency exchange fees, and banking charges.

HighLevel reserves the right to withhold and deduct taxes and government charges from prize amounts if and to the extent required by applicable law, including U.S. tax law or the tax laws of your jurisdiction. Winners agree to comply with foreign exchange and banking regulations in their jurisdiction and report prize receipt to relevant government agencies as required by law.

Winner Verification and Announcement

Finalists will be announced on September 30, 2025, on the relevant HighLevel contest page(s). The winners will be announced during HighLevel’s LevelUp Summit, taking place from October 12-14, and may be featured in HighLevel marketing materials.

Potential winners will be notified by email in advance and must respond within two (2) business days of notification. If a potential winner does not respond within this timeframe, HighLevel reserves the right to disqualify said winner and select an alternate.

Prizes will be delivered via check or wire transfer within sixty (60) days of winner verification and completion of required tax documentation.

THE AWARD OF A PRIZE TO A POTENTIAL WINNER IS SUBJECT TO VERIFICATION OF THE IDENTITY, QUALIFICATIONS AND ROLE OF THE POTENTIAL WINNER IN THE CREATION OF THE SUBMISSION.

Disqualification

HighLevel may, in its sole and absolute discretion, disqualify any participant who:

• Violates these terms and conditions;

• Engages in fraudulent, deceptive, or unsportsmanlike conduct;

• Attempts to manipulate the judging process;

• Violates applicable laws or regulations;

• Fails to comply with data privacy and security requirements;

• Submits content that is offensive, inappropriate, or violates third-party rights; or

• Attempts to deliberately damage any website or undermine legitimate Contest operation.

ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS. HIGHLEVEL RESERVES THE RIGHT TO SEEK DAMAGES TO THE FULLEST EXTENT PERMITTED BY LAW.

Intellectual Property Rights

Contest participants retain full ownership of their AI agent and any intellectual property they create for this Contest, subject to the following restrictions:

By participating in the Contest, you grant HighLevel a perpetual, irrevocable, worldwide, royalty-free, and non-exclusive license to:

• Use, reproduce, adapt, modify, publish, distribute, publicly perform, and publicly display your agent and related materials for Contest evaluation purposes;

• Use your agent and related materials in connection with advertising and promotional purposes, including the right to make screenshots, animations, and video clips available for promotional purposes;

• Reference your participation and results in HighLevel marketing materials; and

• Showcase your agent as an example of platform capabilities.

Privacy

By participating in the Contest, you expressly consent to HighLevel’s collection, processing and use of your personal information that you provide in connection with this Contest (including, but not limited to,disclosure of your name and state of residence on a winners list and making such list available to the public) and under the terms of HighLevel’s privacy policy, which can be accessed here.

In addition, Contest participants may have access to customer data through the HighLevel platform. By participating, you agree to comply with all applicable privacy laws, including without limitation the GDPR, CCPA, and other regional data protection regulations. You further agree to immediately notify HighLevel of any suspected or actual data security incident involving customer data.

Participant’s information may also be transferred to countries outside the country of Participant's residence, including the United States. Such other countries may not have privacy laws and regulations similar to those of the country of Participant's residence.

Participant has the right to request access, review, rectification or deletion of any personal data held by HighLevel in connection with the Contest by writing to HighLevel at [email protected].

Export Control and Sanctions Compliance

By participating in the Contest, you acknowledge that AI technology may be subject to U.S. export control laws. You agree to comply with all applicable export control regulations. Participation in this Contest does not constitute a technology export or transfer under applicable law.

General Conditions

In the event that the operation, security, or administration of the Contest is impaired in any way for any reason, or if the Contest is unable to run as planned for any reason, as determined by HighLevel in its sole discretion, HighLevel may, in its sole discretion, suspend or terminate the Contest. Failure by HighLevel to enforce any provision of these Contest Rules shall not constitute a waiver of that provision.

Release and Limitation of Liability

By participating in the Contest, entrants agree to release and hold HighLevel harmless from and against any claim or cause of action arising out of participation in the Contest or receipt or use of any prize. Entrant further agrees that in any cause of action, HighLevel’s liability will be limited to the cost of entering and participating in the Contest, but in no event will Sponsor’s liability exceed $500 USD, nor will entrant be entitled to receive attorney’s fees. Entrant waives the right to claim any punitive, consequential or indirect damages.

Warranties

By participating in the Contest, you represent and warrant that:

• Your submission is your original work or you have all necessary rights;

• Your submission does not infringe any third-party intellectual property rights; and

• You have authority to grant the rights specified herein.

Indemnification

You agree to indemnify and hold HighLevel harmless from any claims arising from your submission or participation in this Contest.

Applicable Law, Binding Arbitration, and Class Action Waiver

PLEASE READ THE FOLLOWING PARAGRAPHS CAREFULLY BECAUSE THEY REQUIRE YOU TO AGREE TO RESOLVE ALL DISPUTES BETWEEN US THROUGH BINDING INDIVIDUAL ARBITRATION.

The laws of the State of Texas will govern these Terms and any disputes under them, without giving effect to any principles of conflicts of laws. These Terms may be translated into different languages—only the English version is valid and enforceable.

Any controversy or claim arising out of or relating to these Terms shall be exclusively settled by arbitration administered by the American Arbitration Association in accordance with Commercial Arbitration Rules, then in effect. This arbitration provision is governed by the Federal Arbitration Act. The arbitration proceedings shall be held in Dallas, Texas. Any arbitration award may be entered in a court of competent jurisdiction.

All claims and disputes within the scope of this arbitration agreement must be arbitrated or litigated on an individual basis and not on a class basis. Claims of more than one customer or user cannot be arbitrated or litigated jointly or consolidated with those of any other customer or user.

Severability

If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and HighLevel regarding this Contest.
